FEDERATION OF NORTHERN CHESTER COUNTY COMMUNITIES
ARTICLE l. NAME OF ORGANIZATION
The name of this organization shall be Federation of Northern Chester County Communities, hereafter referred to as the Northern Federation.
ARTICLE II. PURPOSE
The purpose of this organization is to serve as a forum that fosters cooperation and collaboration among the municipalities of Northern Chester County through the study and dissemination of information in subjects of mutual interest and concern, and to provide a venue for multimunicipal planning by conducting studies that assist in guiding development in ways that will protect regional resources and benefit the needs of member municipalities and the region as a whole.
ARTICLE lII. MEMBERSHIP
Section 1. There shall be three delegate members of the Northern Federation from each participating municipality; one official representative of the governing body, one member of municipality’s planning commission, and one member-at-large from the community. Members shall be formally appointed by the governing body of the participating municipalities. Each member municipality shall have one vote. The governing body of a municipality may replace a member for inefficiency, neglect of duty, or malfeasance in office. Member municipalities may be represented by additional delegates but such individuals shall not be eligible to vote on behalf of the municipality.
Section 2. Participating municipalities will be asked to contribute annual dues of up to $200, as set by the majority of the membership, to support the activities of the Northern Federation.
ARTICLE IV. ADDITION OF NEW MUNICIPALITIES
The Northern Federation may, upon two-thirds vote of all member municipalities, invite or accept the requests of non-member municipalities to become Northern Federation members and appoint members to serve in the Northern Federation pursuant to the terms of ARTICLE IV hereof: such appointees shall in all respects be bona fide voting members of the Northern Federation, provided the foregoing conditions of membership are met.
ARTICLE V. OFFICERS
Section 1. The executive aspect of the Northern Federation shall rest with a Chairperson to be elected annually by a majority vote of the member municipalities. The Chairperson shall be elected from among the representative officials of the municipalities.
Section 2. The Chairperson shall preside at all meetings and hearings of the Northern Federation and shall have the duties normally conferred by parliamentary usage on such officers.
Section 3. The Vice Chairperson shall be elected annually by a majority vote of the member municipalities and assume all presiding duties when the Chairperson is unavailable to perform such duties.
Section 4. The Secretary shall be elected annually and approved by a majority vote of the member municipalities. The Secretary shall oversee the recording and transcription of meeting minutes, shall prepare the agenda of regular and special meetings under the direction of the Chairperson, provide notice of all meetings to Northern Federation members, arrange proper and legal notice of hearings, attend to correspondence of the Federation and perform such other duties as are normally carried out by a Secretary.
Section 5. The Treasurer shall be elected from among the membership by a majority vote of the member municipalities and have the authority to sign documents on behalf of the Federation pertaining to requisitions for needed materials and supplies as are required for the transaction of normal business, unless signature of other officers of the Federation is expressly required by law or by resolution of the Federation. The Treasurer shall also be responsible for the collection of membership dues when required by the Northern Federation.
Section 6. Additional officers of the Northern Federation may be created by a majority vote of the members.
ARTICLE Vl. ELECTION OF OFFICERS
Section 1. All officers shall be elected from the delegate members of participating member municipalities.
Section 2. Election of officers for the calendar year shall be conducted no later than March in each calendar year.
Section 3. Nominations shall be made from the floor at the annual organization meeting and election of the officers specified in ARTICLE Vl. shall follow immediately thereafter.
Section 4. A candidate receiving a majority vote from among the voting member municipalities shall be declared elected and shall serve for one calendar year or until a successor shall take office.
Section 5. Officers, if reelected, may serve without regard for term limits.
Section 6. Vacancies in office shall be filled at the next regular meeting following the procedures in Sections 3 and 4 above.
ARTICLE Vll. COMMITTEES
The Northern Federation, by majority vote, may establish (and terminate) both standing and ad hoc committees to perform functions consistent with the objectives of the Northern Federation. The chairperson and members of such committees shall be appointed by the Chairperson of the Northern Federation with the approval of a majority of the member municipalities voting.
ARTICLE VIII. MEETINGS
Section 1. Meetings shall typically be held monthly. In the event of a conflict with holidays or other events, a majority vote of the member municipalities at any meeting may change the date and/or time of a subsequent meeting.
Section 2. A quorum shall consist of a simple majority of member municipalities. Transaction of official business shall take place only if a quorum of members is present at the meeting and such business as is transacted shall be passed by no less than a majority vote of the said quorum.
Section 3. Special meetings or hearings may be called by the Chairperson or when requested to do so by a majority of the member municipalities of the Federation. The Chairperson or the Secretary shall notify all members of the Northern Federation not less than five days in advance of such a special meeting.
Section 4. All meetings of the Federation shall conform to the provisions of the Sunshine law.
Section 5. Robert’s Rules of Order shall govern the proceedings at the meetings of the Northern Federation.
ARTICLE IX. ORDER OF BUSINESS
The order of business at regular meetings shall be:
a. Recording of attendance
b. Reading of minutes of previous meeting and action thereon
c. Reading and approval of Treasurer’s report and bills
d. Reports of officers and committees
e. Old business
f. New business
ARTICLE X. SUPPORT PERSONNEL
Within the limits imposed by the funds available for its use, the Northern Federation may retain such staff personnel and/or consultants as it sees fit to aid in its work. Appointments shall be made by a quorum vote.
ARTICLE Xl. FINANCIAL MATTERS
Section 1. The Treasurer shall maintain records of all receipts and disbursements, which records shall be audited annually by an auditing committee of three nominated by the Chairperson and approved by the Northern Federation. A copy of the annual audit shall be furnished to each member municipality and to each member of the Northern Federation and others as directed by the Chairperson.
Section 2. Before making a financial commitment on the part of any member municipality, beyond that of membership dues, the Northern Federation shall obtain specific approval from the municipality’s governing body.
Section3. Special projects initiated by the Northern Federation must be adopted by resolution by each participating member municipality.
ARTICLE Xll. AMMENDMENTS
These by-laws may be amended by a two-thirds vote of all member municipalities of the Federation, provided notice of the proposed amendment is sent to all members at least ten days before the meeting at which it is considered.
